1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Pinnacle Impact Solutions LLC ("Company," "we," "us," or "our"), a limited liability company. By accessing our website at www.pinnacleimpactsolutions.com, scheduling a consultation, or engaging any of our services, you agree to be bound by these Terms in their entirety.

If you do not agree to these Terms, you must not use our website or engage our services. We reserve the right to modify these Terms at any time without prior notice. Continued use of our services following any modification constitutes acceptance of the updated Terms.

3. Services Offered

Pinnacle Impact Solutions LLC provides the following professional consulting services:

• Initial Strategy Consultation (30 minutes)
• HIPAA IT Consulting — hourly and monthly retainer
• CRM Implementation & Optimization Consulting
• Workflow Automation Consulting
• Hardware & Infrastructure Consulting
• AI Governance Consultation
• Private Strategy Sessions and Comprehensive Deep Dive Engagements

All services are provided on a consulting basis only. We do not practice law, medicine, or any licensed profession. Nothing in our consulting services constitutes legal, medical, financial, or regulatory advice. Clients are solely responsible for ensuring their own compliance with applicable laws and regulations.

4. Fees, Payment & Booking

All consulting sessions require full payment at the time of booking to confirm the engagement. Current rates are as follows:

Accepted payment methods: Credit/Debit Card (via Stripe) and Zelle. All prices are in U.S. dollars. We reserve the right to update our rates at any time. Rates in effect at the time of booking apply to that engagement.

5. Cancellation & Refund Policy

All consultation fees are non-refundable once payment has been received and the booking is confirmed. This policy exists because we dedicate significant pre-session research and preparation time to every client engagement.

Transfers & Rescheduling

• Sessions may be rescheduled with a minimum of 48 hours written notice to contact@pinnacleimpactsolutions.com
• Sessions may be transferred to another individual with 48 hours written notice
• No-shows without prior notice forfeit the session fee in full
• Rescheduling requests less than 48 hours before the session are subject to a $75 rebooking fee

Monthly Retainer Cancellation

Monthly retainer subscriptions may be cancelled at any time with 30 days written notice. No partial-month refunds are issued. Cancellation takes effect at the end of the current billing cycle.

6. HIPAA Compliance & Business Associate Agreement

For all HIPAA IT Consulting engagements, a signed Business Associate Agreement (BAA) is required before any session involving Protected Health Information (PHI) or electronic PHI (ePHI) may proceed. The BAA will be provided via email within 1 business hour of booking confirmation.

Pinnacle Impact Solutions LLC implements reasonable administrative, physical, and technical safeguards to protect any PHI received in the course of a HIPAA IT engagement. However, the Client remains solely responsible for their own HIPAA compliance posture. Our consulting services do not guarantee regulatory compliance or immunity from OCR enforcement actions.

7. Confidentiality

We treat all client information as strictly confidential. Information shared during any consulting engagement — including business operations, financials, technology infrastructure, and strategic plans — will not be disclosed to third parties without your written consent, except as required by law.

Clients agree not to disclose our proprietary methodologies, frameworks, or deliverables to competitors or third parties without our prior written consent.

8. Intellectual Property

All content on this website — including text, graphics, logos, design elements, and code — is the exclusive property of Pinnacle Impact Solutions LLC and is protected by applicable U.S. copyright and intellectual property laws. Unauthorized reproduction, distribution, or use of any website content is strictly prohibited.

Deliverables produced during a consulting engagement (reports, roadmaps, frameworks) are licensed to the client for internal use only upon full payment. Ownership of proprietary methodologies and frameworks remains with Pinnacle Impact Solutions LLC.

9. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that our consulting services will result in specific business outcomes, revenue increases, regulatory compliance, or any other specific result.

We make no representations regarding the accuracy, completeness, or applicability of any advice, recommendation, or framework provided during a consulting engagement. All strategic decisions remain the sole responsibility of the Client.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Pinnacle Impact Solutions LLC, its members, employees, contractors, and agents shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to our services, including but not limited to:

• Loss of revenue, profits, or business opportunities
• Data breaches, regulatory fines, or enforcement actions
• Failure of any technology system or implementation
• Decisions made by the Client based on our consulting advice

Our total aggregate liability for any claim arising from our services shall not exceed the total fees paid by the Client to Pinnacle Impact Solutions LLC in the 90 days preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pinnacle Impact Solutions LLC and its members, officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any third-party claims arising from your business operations.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Pinnacle Impact Solutions LLC is registered, without regard to conflict of law provisions.

Any dispute arising from these Terms or our services shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association rules. Each party shall bear its own costs in any arbitration proceeding.

13. Website Use & Prohibited Conduct

You agree not to use our website to:

• Engage in any unlawful, fraudulent, or harmful activity
• Transmit malware, viruses, or any malicious code
• Scrape, harvest, or collect data from our website without written consent
• Impersonate Pinnacle Impact Solutions LLC or its personnel
• Attempt to gain unauthorized access to any part of our systems

14. Third-Party Services

Our website and booking flow integrates with third-party services including Stripe (payment processing), Calendly (appointment scheduling), and Zelle (payment processing). Your use of these third-party services is subject to their respective terms of service and privacy policies. Pinnacle Impact Solutions LLC is not responsible for the practices or content of any third-party service.
